Terms of Service
These Terms of Service (“Terms”) govern access to and use of the AvSuite Lite website, applications, software, and related services (collectively, the “Services”). The Services are operated by Nicholl Aviation LLC, doing business as AvSuite Lite (“AvSuite Lite,” “we,” “us,” or “our”). By creating an account, purchasing a subscription, accessing, or using the Services, you agree to these Terms. If you use AvSuite Lite for an organization, you represent that you have authority to accept these Terms on its behalf.
1. The AvSuite Lite Service
AvSuite Lite is an administrative platform for aircraft partnerships, co-owners, flying clubs, and other member-based aircraft organizations. Depending on the account and current features, the Services may include aircraft scheduling and dispatch, aircraft and maintenance tracking, expense and account records, member management, document and POH storage, activity history, reports, notifications, and related administrative functions. Features may change over time.
2. Eligibility and Accounts
You must be legally capable of entering a binding agreement to establish an account. Users must provide accurate information, use their own accounts, and protect their credentials. Organizations are responsible for deciding who may access their environment and for assigning appropriate owner, administrator, and member roles. You may not impersonate another person, access an account without authorization, or share credentials in a way that defeats access controls.
3. Aviation and Operational Disclaimer
AvSuite Lite is an administrative and recordkeeping tool. It does not operate aircraft and does not exercise operational control over any flight. AvSuite Lite does not act as pilot in command, dispatcher, mechanic, inspector, insurer, or governmental aviation authority. Nothing displayed, calculated, stored, generated, or communicated through AvSuite Lite constitutes authorization to conduct a flight or a determination that an aircraft, pilot, or operation is safe or legal.
4. User Responsibility and Regulatory Compliance
Owners, administrators, members, pilots, and other responsible persons remain solely responsible for aircraft airworthiness, inspections, maintenance, pilot qualifications and currency, medical eligibility, weather and flight planning, weight and balance, fuel, required documents, operating limitations, record retention, and compliance with applicable law, regulation, insurance, and organizational rules. Users must verify safety-critical and regulatory information using current authoritative sources.
5. Aircraft, Maintenance, and Scheduling Information
AvSuite Lite may display aircraft availability, meter values, inspection and maintenance due items, squawks, reservations, dispatch information, and uploaded documents. This information depends on timely and accurate user input. AvSuite Lite does not independently inspect aircraft, verify documents, certify airworthiness, prevent all scheduling conflicts, or guarantee that reminders are complete, accurate, or delivered. The pilot in command and persons legally responsible for the aircraft must make all final operational decisions.
6. Billing, Expenses, and Account Records
AvSuite Lite may help organizations record expenses, member charges, payments, balances, flight time, and related account activity. These tools are administrative records and are not accounting, tax, legal, or financial advice. Organizations are responsible for reviewing entries, resolving disputes, maintaining required source documents, and determining their own tax, accounting, and reporting obligations.
7. User Content and Record Accuracy
Users and organizations may submit records, documents, photographs, notes, aircraft information, reservations, expenses, and other content (“User Content”). You are responsible for the accuracy, legality, and appropriateness of User Content and must have the right to upload it. You must not intentionally falsify, manipulate, fabricate, or misrepresent aircraft, maintenance, dispatch, billing, payment, membership, or activity records.
8. Organization Accounts
Authorized organization administrators may create or deactivate users, assign roles and permissions, view and manage organization records, configure aircraft and settings, send invitations, access reports, and manage subscription information. Users acknowledge that authorized administrators may access information maintained within that organization’s environment. An organization is responsible for promptly removing access that is no longer appropriate.
9. Acceptable Use
Use of AvSuite Lite is subject to the Acceptable Use Policy. Misuse, security compromise, record falsification, unauthorized access, unlawful use, or interference with other users or the Services may result in suspension or termination.
10. Subscription Plans and Renewal
AvSuite Lite currently offers a monthly subscription at $12.99 per month and an annual subscription at $142 per year, unless a different price is shown and accepted at purchase. Subscriptions automatically renew at the selected interval until canceled. By subscribing, the organization authorizes Nicholl Aviation LLC and its payment processor to charge the payment method on file for each renewal. Applicable taxes may be added.
The annual price is a promotional value compared with twelve monthly payments and is billed as one annual charge. “One month free” is a pricing comparison, not an additional thirteenth month or a separately refundable credit.
11. Aircraft and Member Limits
AvSuite Lite does not charge per aircraft or per member and does not impose a stated numeric aircraft or member limit on the standard subscription. Use must remain associated with one legitimate organization and comply with these Terms and the Acceptable Use Policy. This provision does not permit account sharing between unrelated organizations, resale, automated abuse, or use that materially threatens service security or availability.
12. Failed Payments
If a payment is unsuccessful, AvSuite Lite may retry the payment and notify the organization. Access may be limited or suspended while an amount remains unpaid. Suspension for nonpayment does not necessarily result in immediate deletion of organization data, and access may be restored after payment, subject to account status.
13. Cancellation
An organization may cancel through available account functionality or by contacting support@avsuitelite.com. Cancellation stops future renewals but does not retroactively cancel charges already processed. Unless otherwise stated at purchase, access may continue through the end of the paid billing period.
14. Refunds
Subscription payments are non-refundable except where a refund is required by applicable law. AvSuite Lite does not provide prorated refunds or credits for partial billing periods, unused Services, removal of aircraft or members, failure to use the Services, or cancellation after a charge has been processed.
15. Pricing and Service Changes
AvSuite Lite may change pricing with reasonable advance notice for an existing subscription. An organization may cancel before a price change becomes effective. AvSuite Lite may add, modify, redesign, or discontinue features as the Services evolve and may immediately change or disable functionality when reasonably necessary for security, legal compliance, system integrity, or aviation safety.
16. Data, Export, and Account Closure
As between AvSuite Lite and the user or organization, users retain applicable rights in User Content. Users grant AvSuite Lite a limited right to host, process, transmit, back up, reproduce, and otherwise use User Content as reasonably necessary to provide, secure, support, maintain, and improve the Services. Where export tools are available, organizations are responsible for exporting and independently retaining records they are legally, contractually, or operationally required to preserve before access ends.
17. Privacy and Security
Our handling of personal information is described in the Privacy Policy. AvSuite Lite uses reasonable administrative, technical, and organizational measures intended to protect the Services and information. No internet-connected service can guarantee absolute security. Users remain responsible for protecting passwords, devices, email accounts, invitation links, and authentication credentials.
18. Intellectual Property
AvSuite Lite and its software, design, interfaces, branding, graphics, databases, documentation, and original content are owned by Nicholl Aviation LLC or its licensors and are protected by applicable intellectual-property laws. Except as permitted by these Terms, users may not copy, reproduce, modify, distribute, sell, license, reverse engineer, or create derivative works from the Services.
19. Feedback
Suggestions, ideas, or feedback may be used by AvSuite Lite to develop, modify, or improve the Services without an obligation to compensate the submitting party. This does not transfer ownership of User Content or organization records.
20. Third-Party Services
AvSuite Lite may use, integrate with, or link to third-party services, including infrastructure, authentication, email, storage, analytics, and payment providers. Independent third-party services are governed by their own terms and privacy practices, and AvSuite Lite is not responsible for their independent availability or operation except as required by law.
21. Service Availability
AvSuite Lite strives to provide reliable access but does not guarantee uninterrupted availability. Maintenance, updates, outages, third-party failures, security events, or circumstances beyond reasonable control may affect the Services. Users should not rely on AvSuite Lite as the sole repository for information that must be immediately available for flight safety, legal compliance, or required aircraft records.
22. Suspension and Termination
AvSuite Lite may suspend or terminate access for nonpayment, violation of these Terms or the Acceptable Use Policy, fraudulent activity, security threats, unauthorized access, illegal activity, or conduct threatening AvSuite Lite, its users, aircraft operations, data, or the integrity of the Services.
23. Disclaimer of Warranties
TO THE MAXIMUM EXTENT PERMITTED BY LAW, AVSUITE LITE IS PROVIDED “AS IS” AND “AS AVAILABLE.” NICHOLL AVIATION LLC DISCLAIMS WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, NON-INFRINGEMENT, AND OTHER WARRANTIES THAT MAY OTHERWISE APPLY. AVSUITE LITE DOES NOT WARRANT THAT THE SERVICES WILL BE ERROR-FREE, UNINTERRUPTED, OR SUFFICIENT TO SATISFY ANY PARTICULAR FAA, LEGAL, INSURANCE, ACCOUNTING, SAFETY, OR OPERATIONAL REQUIREMENT.
24. Limitation of Liability
TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, NICHOLL AVIATION LLC, AVSUITE LITE, AND THEIR OWNERS, OFFICERS, EMPLOYEES, CONTRACTORS, AND AFFILIATES WILL NOT BE LIABLE FOR INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES ARISING FROM OR RELATED TO THE SERVICES, INCLUDING LOSSES ASSOCIATED WITH AIRCRAFT OPERATIONS, SCHEDULING, MAINTENANCE, RECORDS, DISPATCH, ACCOUNTING, LOST DATA, LOST PROFITS, OR BUSINESS INTERRUPTION. NOTHING IN THESE TERMS EXCLUDES LIABILITY THAT CANNOT LEGALLY BE EXCLUDED.
25. Indemnification
To the extent permitted by law, organizations and commercial users agree to indemnify and hold Nicholl Aviation LLC and AvSuite Lite harmless from third-party claims arising from unlawful use, intentional falsification of records, unauthorized disclosure, aircraft operations, violation of these Terms, or infringement of another party’s rights, except where prohibited by law.
26. Governing Law
These Terms are governed by the laws of the State of Michigan, without regard to conflict-of-law principles, except where applicable law requires otherwise. Disputes not subject to another agreed procedure shall be brought in a court of competent jurisdiction in Michigan unless applicable law provides otherwise.
27. Changes, Severability, and Entire Agreement
AvSuite Lite may update these Terms as the Services, technology, business, or legal requirements change. Material changes may receive notice when appropriate. If a provision is unenforceable, the remaining provisions remain effective. These Terms, the Privacy Policy, Acceptable Use Policy, Organization Subscription Agreement, purchase information, and other incorporated written agreements constitute the agreement governing use of AvSuite Lite.
